Sweepstakes Rules for Annual Meeting Prize Give-A-Way

  1. No purchase is necessary. Only 1 entry per membership number.
  2. Must be 18 or older to qualify and must be U.S. residents.
  3. Must be an active member of the Guadalupe Telephone Cooperative, Inc. as of the date of the drawing to be eligible.
  4. Current Board Members, Employees and spouses of Board Members and Employees are not eligible to win.
  5. Must be registered at the annual meeting and be present at the time of the drawing.
  6. The sweepstakes drawing will be conducted prior to adjournment of the annual meeting to be held on June 28th, 2017. The annual member meeting is scheduled to begin at approximately 7:30pm.
  7. The sponsor of the sweepstakes is Guadalupe Valley Telephone Cooperative, Inc. whose address is 36101 FM 3159, New Braunfels, Texas 78132.
  8. The sweepstakes give-a-way is for one 2003 Ford F150 Extended Cab Truck. The truck contains no warranty and comes in “as-is” condition. Truck is in fair to good condition. Approximate value is estimated to be $4,000. Odds of winning are based on estimated registration and attendance of approximately 1000:1.
  9. Prize will be drawn at random from names of registered members prior to the close of the meeting on June 28, 2017. Members must be present at the time of the drawing to be eligible to win. The member whose name is drawn will be announced prior to the close of the meeting and will be recognized to come forward to claim their prize during the meeting.
  10. The winner will be required to sign a release form noting the “as-is” condition without warranty as well as the appropriate forms required by the Internal Revenue Service. The winner acknowledges that the prize is subject to federal income tax as well as applicable state sales tax and must complete the necessary forms and disclosures, including providing winner’s social security number, name, phone number, e-mail and current mailing address.
  11. Winner is responsible for all associated taxes as required by federal, state and local laws and regulations, including any immediate withholdings.
  12. Prize must be claimed within 30 days of award. Should the prize not be claimed within the 30-day period, The Company reserves the right to determine an alternate winner or not to award that winner’s prize, in its sole discretion.
  13. Prize is not transferable, redeemable for cash or exchangeable for any other prize.
  14. The Company is not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of entries, traffic congestion or any other activity that prohibits an entrant's ability to participate in the Sweepstakes, and any injury or damage to entrant or any other person related to or resulting from participating in the Sweepstakes.
  15. By participating in the Sweepstakes give-a-way, each participant agrees to be bound by the official Sweepstakes rules.
  16. By participating, where allowed by law, all participants and winner(s) grant the Company exclusive permission to use their names, characters, photographs, voices, videotape, and likenesses in connection with promotion of this and other sweepstakes and waive any claims to royalty, right, or remuneration for such use. By participating in the sweepstakes, where allowed by law, participants agree that the Company may disclose personal information obtained from participants in the Sweepstakes to third parties and use such information for marketing and other purposes.
  17. By participating in the Sweepstakes, each participant and winner waives any and all claims of liability against the Company, its employees and agents, the Sweepstakes’s sponsors and their respective employees and agents, for any personal injury or loss which may occur from the conduct of, or participation in, the Sweepstakes, or from the use of any prize. In order to receive a prize, participants must sign an official waiver form provided by the Company.
  18. Any valuation of the prize(s) stated above is based on available information provided to the Company, and the value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes related to the prize(s) and paying any expenses associated with any prize which are not specifically provided for in the official rules. Each winner must provide the Company with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning over $600 in prizes from the Company will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.
  19. By participating in the Sweepstakes, participants agree to be bound by the decisions of Company personnel. Persons who violate any rule, gain unfair advantage in participating in the Sweepstakes, or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Company will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Sweepstakes and the Company’s decisions concerning such disputes shall be final. If the conduct or outcome of the Sweepstakes is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Company, the Company reserves the right to terminate this Sweepstakes, or make such other decisions regarding the outcome as the Company deems appropriate. All decisions will be made by the Company and are final. The Company may waive any of these rules in its sole discretion. Any attempt by an entrant or any other individual to deliberately circumvent, disrupt, damage or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws. Should such an attempt be made, the Company reserve the right to seek civil and/or criminal prosecution and/or damages from any such person to the fullest extent permitted by law.
  20. Void where prohibited. Odds of winning depend upon the number of participants. Each winner must submit proof of eligibility and sign the Company’s release form to claim the prize. The Company may substitute prizes, amend the rules or discontinue the Sweepstakes at any time as announced on the Company’s website. The Company disclaims any responsibility to notify participants of any aspect related to the conduct of the Sweepstakes.   21. The conduct of the Sweepstakes is governed by the applicable laws of the United States of America, which take precedence over any rule to the contrary herein. The Company shall follow the applicable laws for conducting Sweepstakes, including notice to the state attorney general or consumer affairs office, posting of a prize bond, furnishing lists of winners, running specific on-air disclaimers, providing specific written information about the Sweepstakes, etc. as required by local and state law.

Capital Credit Check Important Information

Capital Credit checks will be distributed only to active members who are registered and in attendance at the 62nd Annual Membership Meeting. To receive a capital credit check at the meeting, bring your Annual Meeting Notice and proper identification. Members will not be allowed to pick up checks for other members. Capital credit amounts for active members not attending the meeting will be applied to the members’ account on the next billing cycle after the Annual Meeting. 

Board of Director Nomination Process

The 62nd Annual Meeting of Guadalupe Valley Telephone Cooperative, Inc. will be held on Wednesday, June 28, 2017. Persons interested in the nominations process should be familiar with ARTICLE IV. SECTION 4. Nominations of the bylaws, which reads as follows: 

“It shall be the duty of the Board to appoint, not later than sixty (60) nor more than ninety (90) days before the date of a meeting of the members at which Directors are to be elected, a committee of at least one (1) member from each district in which there is a Director position vacancy to be filled and one (1) member for each Director position to be elected within each such District, the selection of which must be at random. The Committee shall prepare and post, or cause to be posted at the principal office of the Cooperative at least forty-five (45) days before the meeting, a list of nominations for Directors which shall include at least two (2) candidates for each anticipated vacancy in the office of Director to be elected. Provided however, that if, after diligent search and request of at least, successively, three (3) persons to be nominated in addition to one person nominated for a position, the Committee is unsuccessful in securing a second nominee as a candidate for a Director position within a District, the Committee shall so report and the nomination of one (1) person shall be deemed sufficient, subject to the other provisions of this Section. In such case, the Committee shall file a list of the names of three (3) persons contacted who refused the nomination with the Report of the Nominations Committee.

Any one hundred (100) members or ten percent (10%), or more, of the members, whichever is the lesser acting together may make other nominations by petition not less than thirty (30) days prior to the meeting and the Secretary shall post, or cause to be posted, such nominations at the same place where the list of nominations made by the committee is posted. The Secretary shall mail with the notice of the meeting or separately, but at least ten (10) days before the date of the meeting, a statement of the number of Directors to be elected and the names and addresses of the candidates, specifying separately the nominations made by the committee and the nominations made by petition, if any. The ballot to be used at the election shall list the names of the candidates nominated by the nominations committee appointed by the Board and the candidates who may be nominated by petition, separately, and shall provide a space for the listing of the names of any candidates who may be nominated from the floor. The chairman shall call for additional nominations from the floor and nominations shall not be closed until at least one (1) minute has passed during which no additional nomination has been made. No member may nominate more than one (1) candidate. All members nominated, whether by the nominating committee, by petition, or from the floor, must reside in the District in which a vacancy exists for the office of Director.”
